Agreement to these terms
These Terms of Service ("Terms") govern your use of nurustate.com (the "Site"), which is operated by NuruState ("NuruState", "we", "us"). By using the Site you agree to these Terms. If you do not agree, please do not use the Site.
What the Site is, and what it is not
The Site gives general information about NuruState and our services. It is not an offer, a quote, or a contract for services. We provide assessments, pilots, and ongoing partnerships only under a separate written agreement or statement of work signed by both parties ("Services Agreement"). If a Services Agreement conflicts with these Terms or with anything on the Site, the Services Agreement controls.
Examples, results, and pricing
Figures on the Site, such as typical savings, ROI ranges, time reductions, pilot costs, and timelines, are general information and examples drawn from our experience. Results depend on each facility, its systems, its data, and how a solution is used. They are not a promise that you will achieve the same results.
Prices and fee structures shown on the Site are indicative. The fees, scope, success metrics, and timeline that apply to you are the ones in your written proposal or Services Agreement. Where the Site describes a money-back guarantee or a credit of the assessment fee toward a pilot, those commitments apply only as written in your Services Agreement, including the success metrics agreed there.
No professional or regulatory advice
Nothing on the Site is legal, regulatory, safety, or compliance advice. Our solutions are tools that support your operations. You remain responsible for compliance with FDA, FSMA, and other requirements that apply to your facility, for your quality and safety decisions, and for validating any system before relying on it.
Using the Site
You may use the Site for lawful business purposes. You agree not to:
- break the law or infringe anyone's rights;
- attempt to gain unauthorized access to the Site, our systems, or other users' information;
- interfere with or overload the Site, or introduce malicious code;
- scrape or copy the Site at scale, or use it to build a competing product;
- misrepresent who you are or your connection to a company.
Contacting us
The forms on the Site open a draft email addressed to us; you decide whether to send it. Sending us a message does not create a client relationship, a confidentiality obligation, or an agreement for services. Until we have signed an agreement, please do not send confidential business information, trade secrets, regulated data, or sensitive personal information such as health, financial account, or government identification numbers.
If you give us feedback or ideas, you agree we may use them without obligation to you.
Intellectual property
The Site, including its text, design, graphics, and code, is owned by NuruState or its licensors and is protected by intellectual property laws. We grant you a limited, revocable, non-exclusive license to view the Site and to share links to it for your own business use. You may not otherwise copy, modify, distribute, or create derivative works from it without our written permission.
Ownership of work product delivered to a customer is set out in the Services Agreement. Customer data remains the customer's property and is handled as the Services Agreement sets out.
Third-party sites
The Site may link to websites we do not control. We are not responsible for their content or practices, and a link is not an endorsement.
Disclaimers
The Site is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and that the Site will be uninterrupted, secure, or error-free. Warranties about our services, if any, are only those in the Services Agreement.
Limitation of liability
To the fullest extent permitted by law, NuruState and its owners, officers, employees, and contractors are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or business opportunities, arising from your use of the Site, even if we were told they were possible. Our total liability for any claim relating to the Site is limited to one hundred U.S. dollars ($100). Liability for our services is governed by the Services Agreement. Some jurisdictions do not allow certain limits, so parts of this section may not apply to you.
Your responsibility
You agree to be responsible for claims, losses, and costs arising from your violation of these Terms or misuse of the Site, to the extent permitted by law.
Governing law and disputes
These Terms are governed by the laws of the jurisdiction in which NuruState is organized, without regard to its conflict-of-law rules. Any dispute about these Terms or the Site will be brought in the courts located in that jurisdiction, and you consent to their authority. Disputes under a Services Agreement are resolved as that agreement provides.
Changes and ending access
We may update these Terms or change or discontinue the Site at any time. We will post updated Terms here with a new "Last updated" date, and your continued use means you accept them. We may restrict access to the Site if we reasonably believe these Terms have been violated.
General
If any part of these Terms is found unenforceable, the rest stays in effect. Our failure to enforce a provision is not a waiver. These Terms, together with our Privacy Policy, are the entire agreement about your use of the Site.
